1. Acceptance of Terms
These Terms of Service govern your access to and use of Systenica. By accessing the platform, creating an account, accepting an invitation, or authorizing an integration, you agree to these terms and any applicable service agreement with Lumetis.
2. Description of the Service
Systenica is a strategic business system that supports collaboration, project management, business operations, approved integrations, automation, and related services. Features may differ by organization, service plan, engagement, or stage of development.
3. Relationship Between Systenica and Lumetis
Systenica is the client platform used to deliver and support Lumetis engagements. Your access may be provided as part of a separate agreement, statement of work, subscription, or approved trial. If a separate agreement conflicts with these terms, the separate agreement controls for that engagement.
4. Accounts and Access
You must provide accurate information, protect your credentials, and promptly report suspected unauthorized access. You are responsible for activity performed through your account unless caused by a failure within systems controlled by Systenica or Lumetis.
5. Authorized Business Use
You may use Systenica only for lawful business purposes and only within the permissions granted to you. You may not interfere with platform security, access another organization without authorization, misuse integrations, introduce malicious code, or use the service to violate the rights of others.
6. Connected Third-Party Services
Some features require a connection to a third-party account. You represent that you have authority to authorize the connection and instruct Systenica to access the relevant data. Third-party services remain governed by their own terms, availability, and policies.
7. Google Services
Google connections require your explicit authorization. You are responsible for having authority to connect the relevant Google account or Google Business Profile. Systenica uses the connection only to provide the features you authorize, and you may revoke access at any time through Systenica or your Google Account. Google services remain governed by Google's own terms and policies.
8. User Content and Permissions
You retain ownership of content you or your organization submit to Systenica. You grant the permissions reasonably necessary to host, process, display, transmit, and use that content solely to provide, support, secure, and improve the services you request.
9. Fees and Subscriptions
Any fees, payment schedules, usage charges, renewal terms, or cancellation provisions are governed by the applicable order, engagement agreement, or subscription terms presented to your organization.
10. Intellectual Property
Systenica, its software, branding, interfaces, documentation, and underlying technology are protected by intellectual-property laws. Except for the limited right to use the service, these terms do not transfer ownership or grant rights to copy, reverse engineer, resell, or create derivative works from the platform.
11. Confidentiality
Each party may receive nonpublic business, technical, or client information. Such information should be used only for the authorized engagement and protected with reasonable care. Separate confidentiality agreements continue to apply where applicable.
12. Availability and Changes
Systenica is under active development. Features may be added, changed, limited, or removed. We may perform maintenance or experience interruptions. We will use reasonable efforts to communicate material changes that affect active services.
13. Suspension and Termination
Access may be suspended or terminated for nonpayment, security risk, unlawful use, material breach, misuse of connected services, or the end of the applicable engagement. Where reasonable, notice and an opportunity to cure may be provided.
14. Disclaimers
Except as expressly stated in a separate written agreement, Systenica is provided on an “as available” basis. We do not guarantee that every feature will be uninterrupted, error-free, or suitable for every business purpose. You remain responsible for business decisions, account permissions, and the accuracy of information you provide.
15. Limitation of Liability
Any limitation of liability applicable to a paid engagement is governed by the controlling service agreement. To the extent permitted by law and where no separate agreement applies, neither party will be liable for indirect, incidental, special, or consequential damages arising from use of the service.
16. Indemnification
You are responsible for claims arising from unlawful content, unauthorized account connections, misuse of the service, or violation of another person's rights caused by you or users you control, subject to any separate written agreement.
17. Governing Terms
Governing law, venue, dispute procedures, and any additional contractual terms are determined by the applicable Lumetis engagement agreement or other controlling written agreement.
18. Changes to These Terms
These terms may be updated as the platform evolves. The current version will be posted on this page with a revised effective date. Continued use after an update constitutes acceptance of the revised terms where permitted by law.
